Virtual Office Service Agreement
These public terms describe the standard operating framework. A booking confirmation, quotation, invoice, service order or signed agreement may contain package-specific terms. Where law requires a different treatment, applicable law prevails.
1. Agreement and service order
This Virtual Office Service Agreement applies to each virtual-office order accepted by Voffio. The selected location, plan, term, price, permitted address use and optional services shown in the order confirmation form part of the agreement. If a signed service order contains a specific term that conflicts with these standard terms, the signed service order controls to the extent permitted by applicable law.
2. Activation is conditional
Payment alone does not activate address use. Activation is conditional on successful identity/KYC and business verification, payment clearance, service-location eligibility, acceptance of these terms and any additional documents reasonably required for the requested use.
3. Permitted address use
The customer may use the approved address only for the purpose expressly included in the plan and only while the service remains active. Use for GST, MCA/ROC, bank, licence, marketplace, correspondence or other registrations is permitted only where the purchased plan expressly includes that use and the relevant authority accepts it.
4. No authority-approval guarantee
Voffio provides workspace/address services; it does not control MCA, GST, banks, payment providers, local authorities or other third parties. Approval, registration, verification or continued acceptance by any authority is not guaranteed.
5. Customer warranties
The customer confirms that all identities, directors, beneficial owners, business activities and documents supplied are accurate, current and lawfully obtained; the business is lawful; and the customer has authority to bind the entity placing the order.
6. Prohibited use
The address must not be used for fraudulent, deceptive, unlawful, sanctioned, prohibited or materially misleading activities; impersonation; unapproved regulated activities; receipt of illegal or dangerous goods; or any activity that creates unreasonable legal, safety, reputation or operational risk.
7. Mail and courier handling
Mail/courier handling is subject to the Mail, Courier & Address-Use Policy. Voffio may refuse oversized, hazardous, perishable, cash-on-delivery, unidentified, unlawful or otherwise unsuitable deliveries. Identity verification may be required before release.
8. Fees, taxes and additional work
Plan fees cover only listed inclusions. Government fees, professional filing fees, notarisation, stamp duty, courier, printing, storage, reshipping, special letters, inspections, assisted compliance or third-party services may be charged separately when disclosed or requested.
9. Renewal and expiry
The service ends at the expiry of the paid term unless renewed. The customer must stop using the address on expiry or termination and promptly update registrations, stationery, websites and public records. Continued unauthorised use after expiry may result in additional charges and formal notice to relevant parties where lawful and appropriate.
10. Suspension and termination
Voffio may suspend or terminate service for overdue payments, failed/expired KYC, prohibited activity, misuse of the address, false information, authority concerns, safety/security risk or material breach. Where appropriate, Voffio may provide a reasonable opportunity to cure a remediable breach.
11. Cancellation and refunds
Cancellation and refund eligibility is governed by the Refund, Cancellation & Rescheduling Policy. Verification, documentation, setup, address activation, third-party and completed administrative work may become non-refundable once performed, subject to non-waivable statutory rights.
12. Records, notices and electronic acceptance
Electronic acceptance, order records, IP address, timestamps, invoices, email notices and uploaded documents may be retained as evidence of the transaction and service administration. Service notices may be sent to the account email or other registered contact details.
13. Liability and customer responsibility
Voffio is responsible for providing the contracted service with reasonable care. The customer remains responsible for its business, filings, statutory deadlines, tax/legal advice, documents, mail instructions and authority compliance. Nothing in these terms excludes liability or consumer/statutory rights that cannot lawfully be excluded.
14. Governing terms and dispute handling
Customers should first raise service disputes with info@voffio.com with the order number and supporting details so the matter can be reviewed. Applicable law and competent jurisdiction will govern where a dispute cannot be resolved, subject to any mandatory consumer or statutory forum rights.
